These terms govern the use of the Brian Madzokere Holdings sourcing platform by manufacturers and distributors. Placing an order or accepting a quotation constitutes acceptance of these terms.
Brian Madzokere Holdings operates a business-to-business sourcing platform that connects licensed pharmaceutical manufacturers with distributor buyers. The platform facilitates discovery, requests for quotation, quotations, orders and fulfilment tracking.
Brian Madzokere Holdings is not a party to any supply contract formed between a buyer and a manufacturer, and does not take title to, store, or handle any product listed on the platform.
Access is restricted to verified manufacturers and distributors. Each organisation warrants that it holds all licences, registrations and authorisations required to manufacture, distribute, import or export the products it trades, in every relevant jurisdiction.
Organisations must keep their business registration details accurate and must promptly notify the platform of any suspension or revocation of a relevant licence.
Products may only be offered for a destination market where the manufacturer holds, or has applied for, the necessary marketing authorisation or import registration with the competent regulatory authority.
Buyers are responsible for confirming that imported products comply with the laws of the destination country, including customs, pharmacovigilance, cold-chain and controlled-substance requirements.
A quotation constitutes an offer by the manufacturer, valid until its stated expiry. A buyer accepts an offer by awarding the quotation on the platform, at which point a binding order is created between buyer and manufacturer.
A buyer may reject any offer, with or without a stated reason. Direct orders placed by a buyer become binding when the manufacturer acknowledges the order with a confirmed lead time.
By placing an order or accepting a quotation you confirm that you are authorised to bind your organisation and that you accept these Terms & Conditions. Each acceptance is recorded with a timestamp and the accepting user.
Prices are quoted in the currency stated on the quotation or order and are exclusive of applicable taxes, duties and import charges unless the selected Incoterm provides otherwise.
Platform subscription fees are billed separately under the plan selected on the pricing page. Subscription fees do not include the value of any goods traded between organisations.
Delivery obligations are governed by the Incoterm recorded on each order. Freight tracking and customs broker information on the platform is provided for coordination and does not transfer liability between the parties.
Risk and title pass between buyer and manufacturer in accordance with the agreed Incoterm and their supply contract, not these platform terms.
Files attached to requests and quotations are shared with counterparty organisations on the platform. You must not upload documents containing personal data unrelated to the transaction, or material you are not entitled to share.
To the maximum extent permitted by law, Brian Madzokere Holdings is not liable for product quality, regulatory non-compliance, delayed delivery, or any indirect or consequential loss arising from transactions between organisations.
Nothing in these terms excludes liability that cannot be excluded by law.
